BELMAR, N.J.--(BUSINESS WIRE)--March 31, 2004--Ecogen Inc. (ECGN.PK), and ECGN Acquisition Inc., the holder of more than 90% of the outstanding shares of each class of stock of Ecogen, today announced that Ecogen has merged with and into ECGN Acquisition, effective as of the close of business on March 30, 2004. At the effective time of the merger, each issued and outstanding share of common stock of Ecogen not owned by ECGN Acquisition was automatically cancelled and was converted into the right to receive $0.25 and ECGN Acquisition changed its name to Ecogen Inc.
